eNest — Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website at https://enestit.com (the “Site”). Please read them carefully. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. 

1. Who we are

The Site is operated by the eNest group of companies (“eNest”, “we”, “us”, or “our”), comprising: 

  • eNest USA, Inc., a Delaware corporation, 601 Walnut Street, Suite 825, Philadelphia, PA 19106, USA; and 
  • eNest Technologies Private Limited, E-261, Fifth Floor, Phase 8-B (Industrial Area), Sector 74, SAS Nagar, Mohali, Punjab 160055, India. 

Where these Terms refer to a contracting entity, the applicable entity is the one named in the relevant signed agreement (see section 3). 

2. The Site is informational

The Site provides information about eNest and our services in applied artificial intelligence, software engineering, and related fields. It is intended for business and professional audiences. The Site does not require you to create an account, and we do not sell products or subscriptions through it. Any contact form is provided so that you can enquire about our services; submitting it does not create any contract or obligation on either party. 

3. Services are governed by separate agreements

These Terms govern your use of the Site only. They do not govern the provision of any services by eNest. All professional services are provided solely under separate written agreements (such as a master services agreement, statement of work, or order form) signed by eNest and the client. If anything in these Terms conflicts with a signed services agreement, the signed agreement prevails for that engagement. 

4. Acceptable use

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of the Site by, anyone else. In particular, you agree not to: 

  • use the Site in any way that breaches any applicable law or regulation; 
  • attempt to gain unauthorised access to the Site, the server on which it is stored, or any connected server, computer, or database; 
  • introduce any virus, malware, or other material that is malicious or technologically harmful; 
  • use any automated means to scrape, harvest, or copy content from the Site except as permitted by our robots file or with our prior written consent; 
  • misuse any contact form, including by submitting false information or unsolicited commercial communications. 

We may suspend or restrict your access to the Site if we reasonably believe you have breached these Terms.

5. Intellectual property

The Site and all content on it — including text, graphics, logos, images, case studies, diagrams, and software — are owned by or licensed to eNest and are protected by intellectual-property laws. The name “eNest” and the eNest logo are trademarks of eNest. You may not use them, or any content on the Site, in any product, service, company name, trademark, or domain name without our prior written consent. 

You may view and print extracts from the Site for your own internal business reference, provided you do not modify them and you retain all proprietary notices. 

6. Third-party links

The Site may contain links to third-party websites or resources. We provide these for convenience only and do not endorse and are not responsible for their content, products, or services. Your use of any third-party site is at your own risk and subject to that site’s own terms. 

7. Intellectual-property concerns

If you believe any content on the Site infringes your intellectual-property rights, please contact us at the address in section 12 with: a description of the work you say is infringed; the location of the material on the Site; your contact details; and a statement that you believe in good faith the use is not authorised. We will review and respond appropriately. 

8. Disclaimer

The Site and its content are provided “as is” and “as available”. While we take reasonable care to keep the information on the Site accurate and up to date, we make no warranties or representations, express or implied, as to its accuracy, completeness, or fitness for any particular purpose, to the fullest extent permitted by law. Information on the Site is general in nature and is not professional advice for any specific situation. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free. 

9. Limitation of liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. 

Subject to that, and to the fullest extent permitted by law, eNest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, or data, arising out of or in connection with your use of (or inability to use) the Site. Our total aggregate liability arising out of or in connection with the Site and these Terms shall not exceed USD 100. 

This section relates to use of the Site only. Liability in respect of services provided by eNest is governed exclusively by the relevant signed services agreement. 

10. Indemnity

To the fullest extent permitted by law, you agree to indemnify and hold harmless eNest and its affiliates, officers, employees, and agents from any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of your breach of these Terms or your misuse of the Site. 

11. Governing law and jurisdiction

These Terms, and any dispute arising out of or in connection with them or your use of the Site, are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles, except that where the relevant eNest entity is eNest Technologies Private Limited, the laws of India apply. The courts of Wilmington, Delaware shall have non-exclusive jurisdiction (and, for matters governed by Indian law, the courts at Mohali, Punjab, India), except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. 

12. Changes, severability, and contact

We may update these Terms from time to time; the “Last updated” date above shows when. Continued use of the Site after changes means you accept the revised Terms. If any provision is held invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right is not a waiver of that right.
